Acceptance of Terms
By accessing or using any Steliux platform, service, or application โ including but not limited to our freight booking portal, investment platform (i.steliux.com), shipment tracking system, or any API integration โ you acknowledge that you have read, understood, and agree to be legally bound by these Terms & Conditions.
These terms apply to all users including individual customers, business clients, registered shippers, consignees, investors, and third-party integration partners. If you are acting on behalf of an organization, you represent that you have the authority to bind that entity to these terms.
Continued use of any Steliux service constitutes acceptance. If you do not agree with any provision of these terms, you must discontinue use of our services immediately and contact support@steliux.com.

Shipping & Freight Services
Steliux provides air freight, ocean freight, road freight, warehousing, and customs brokerage services across 200+ countries. Our services are facilitated through a network of 250+ verified courier and logistics partners.
All shipments must be accurately described at the time of booking. Misdeclared weight, dimensions, or content may result in surcharges or refusal of service.
Estimated delivery times are indicative only and subject to carrier schedules, customs processing, and force majeure events.
Steliux reserves the right to re-route, redeliver, or return any shipment that cannot be delivered as addressed, at the sender's expense.
Customers are responsible for ensuring packaging meets carrier and regulatory standards. Damage resulting from inadequate packaging is not covered.
Title and risk of loss remain with the shipper until confirmed delivery or accepted transfer to a designated consignee.
All quoted rates are subject to fuel surcharges, peak season adjustments, and remote area fees unless stated otherwise in writing.
Claims Window
Damage or loss claims must be submitted within 14 calendar days of the delivery date or expected delivery date.
Default Liability Cap
Unless declared value insurance is purchased, liability is limited to USD $100 per shipment or the carrier's standard limit, whichever is lower.

Investment Services
Steliux's investment platform (accessible at i.steliux.com) provides logistics-linked investment products, freight bonds, and yield instruments to qualified participants. Investment services are subject to applicable financial regulations in your jurisdiction.
All investment products carry risk. Past performance does not guarantee future returns. Capital invested may be partially or wholly lost.
Investors must complete KYC (Know Your Customer) and AML (Anti-Money Laundering) verification before participating in any investment product.
Steliux does not provide financial advice. All investment decisions are made at the sole discretion of the investor.
Minimum investment thresholds, lock-in periods, and withdrawal conditions are specified per product on the investment platform.
Returns described are projections based on operational performance and do not constitute guaranteed yields.
Steliux reserves the right to suspend, modify, or terminate investment products in response to regulatory requirements or market conditions.
Regulatory notice: Investment services may not be available in all jurisdictions. Users are solely responsible for determining whether participation is lawful in their country of residence.

Limitation of Liability
To the maximum extent permitted by applicable law, Steliux, its affiliates, officers, directors, employees, agents, and logistics partners shall not be liable for:
Indirect, incidental, consequential, or punitive damages arising from use of our services
Loss of profits, revenue, data, or business opportunities, even if Steliux was advised of the possibility of such damages
Delays, losses, or damages caused by customs authorities, government actions, or force majeure events including natural disasters, pandemics, wars, or strikes
Service interruptions caused by third-party carrier failures, technology outages, or cyber incidents beyond Steliux's reasonable control
Inaccuracies in tracking data, delivery estimations, or automated notifications
Steliux's total aggregate liability for any claim shall not exceed the total fees paid by the customer for the specific service giving rise to the claim during the three (3) months preceding the event.

Customs, Compliance & Export Control
The customer is solely responsible for ensuring that all shipments comply with the export, import, and customs laws of the origin, transit, and destination countries. Steliux provides customs brokerage assistance but cannot guarantee customs clearance in all jurisdictions.
All export-controlled goods must be declared and accompanied by appropriate documentation (e.g. export licenses, EAR/ITAR certifications).
Steliux will not knowingly facilitate the shipment of goods to sanctioned entities, individuals, or countries as listed by OFAC, EU, or UN sanctions regimes.
Customers must provide accurate Harmonized System (HS) codes, commercial invoices, and certificates of origin where required.
Duties, taxes, and customs charges are the responsibility of the importer unless a DDP (Delivered Duty Paid) arrangement is agreed in writing.
Steliux reserves the right to inspect any shipment and refuse carriage of goods suspected of violating customs laws.

Payments, Billing & Refunds
All fees for Steliux services are due in accordance with the pricing agreed at the time of booking or as specified in any Master Service Agreement (MSA).
Invoices are issued in USD unless otherwise agreed. Currency conversion fees are the customer's responsibility.
Disputed invoices must be raised in writing within 10 business days of invoice date. Undisputed amounts remain due by the original payment date.
Late payments may incur interest at 1.5% per month or the maximum rate allowed by law, whichever is lower.
Refunds for prepaid services are processed within 14 business days subject to review and applicable cancellation fees.
Steliux reserves the right to suspend service for accounts with outstanding overdue balances exceeding 30 days.

Secure Elite Consignments
The Secure Elite service is designed for high-value, sensitive, or classified cargo requiring maximum-security logistics. Clients of this service agree to additional terms specific to the confidential nature of these consignments:
All Secure Elite clients must undergo enhanced due diligence verification prior to service activation.
Cargo contents, routing details, and chain-of-custody records are treated as strictly confidential and are not disclosed to third parties except as required by law.
Secure Elite shipments are subject to a separate, individually negotiated service agreement. Standard liability caps do not apply.
Any breach of the client's confidentiality obligations may result in immediate suspension of service and legal action.
Steliux maintains the right to decline any Secure Elite booking at its sole discretion without obligation to provide reasons.

Prohibited & Restricted Items
The following categories of goods are strictly prohibited on the Steliux network under any service tier:
Narcotics, controlled substances, and illegal drugs
Weapons, firearms, ammunition, and explosive devices (unless covered by a valid Secure Elite agreement with applicable permits)
Counterfeit, pirated, or trademark-infringing goods
Human remains, live animals, or biological specimens without appropriate health authority clearance
Currency, negotiable instruments, and bearer bonds above applicable regulatory thresholds without prior disclosure
Radioactive materials or hazardous substances outside of IATA/IMDG-approved packaging and manifesting
Shipments found to contain prohibited items will be seized, destroyed, or surrendered to authorities. The customer will bear all costs and legal consequences arising from such shipments.

Dispute Resolution & Governing Law
Any dispute, claim, or controversy arising from or relating to these Terms & Conditions or the use of Steliux services shall be resolved as follows:
Informal resolution: Parties agree to attempt good-faith resolution within 30 days of written notice of a dispute.
Arbitration: Unresolved disputes shall be submitted to binding arbitration under the ICC Rules of Arbitration.
Governing law: These terms shall be governed by and construed under the laws of England and Wales, without regard to conflict of law principles.
Class action waiver: Users waive any right to participate in class-action proceedings against Steliux.
Nothing in this section limits either party's right to seek urgent injunctive or other equitable relief in any competent court.

Contact & Amendments
Steliux reserves the right to amend these Terms & Conditions at any time. Material changes will be communicated via email to registered users or prominently posted on our website at least 14 days before taking effect. Continued use of our services after changes take effect constitutes acceptance of the revised terms.
